1. Acceptance of Terms and Services

Agreement: By accessing our website, engaging our agency, or subscribing to our services, you agree to be bound by these Terms of Service.

Scope of Work: JKP Digital Media Consulting LLC provides digital marketing solutions, including but not limited to AI automation, reputation management, CRM integration, A2P SMS compliance, and content management. Specific deliverables will be outlined in individual client agreements.

2. Client Responsibilities

Accurate Information: You agree to provide accurate and complete business information necessary for us to execute your campaigns, especially regarding A2P 10DLC brand registrations.

Regulatory Compliance: Clients utilizing our SMS and messaging services are solely responsible for ensuring their data collection practices comply with all applicable telemarketing and anti-spam laws (e.g., TCPA).

Asset Ownership: You must own or have explicit permission to use any branding, logos, or client lists you provide to us for use in your newsletters, blogs, and marketing funnels.

3. Intellectual Property and Liability

Agency Intellectual Property: JKP Digital Media Consulting LLC retains all rights to our proprietary AI automation funnels, internal workflows, templates, and overarching marketing methodologies.

Client Ownership: You retain full ownership of your customer data, subscriber lists, and the finalized, delivered content (such as published blog posts).

Limitation of Liability: While we implement industry-best practices, we do not guarantee specific search engine rankings, lead volumes, or financial returns. JKP Digital Media Consulting LLC shall not be liable for any indirect, incidental, or consequential business damages.

4. Governing Law and Termination

Service Termination: Either party may terminate the engagement by providing written notice, subject to the terms of your specific subscription or service agreement. Upon termination, we will return or destroy your data as outlined in our Privacy Policy.

Jurisdiction: These terms are governed by and construed in accordance with the laws of the State of Texas.

5. Financial Terms, Refunds, and Asset Management

Regulatory and Service Fees: Any funds spent for regulatory compliance, registration costs (including A2P 10DLC branding and campaign registrations), and third-party service fees (such as monthly phone number charges or software integrations) are the sole responsibility of the client. Any such costs incurred by JKP Digital Media Consulting LLC on your behalf will be passed on and billed directly to you.

Refund Policy: We consistently strive to deliver the highest quality work and achieve the best possible outcomes for your business. However, due to the inherent unpredictability of digital marketing and advertising, specific performance metrics or returns on investment cannot be guaranteed. Therefore, absolutely no refunds will be issued once work has been completed or a service has been rendered.

Asset Ownership and Transfer: Upon completion, any custom-built sales funnels and websites become the exclusive property of the client. You retain the right to transfer these digital assets out of our systems and onto another host of your choosing at any time.

Post-Termination Data Deletion: Following the cancellation or termination of your service agreement, you will have a grace period to migrate your assets. Exactly 30 days after service termination, JKP Media Consulting will permanently delete your customized sales funnels, websites, and associated operational data from our internal databases.
